By signing up for an OnPrintShop Account (as defined in Section 1) or by using any OnPrintShop Services (as defined below), you agree to be bound by the following terms and conditions (the “Terms of Service”).
In these Terms of Service, “we,” “us,” “our,” and “OnPrintShop” refer to Radix Software Service Private Limited, Radixweb Software Services Pvt. Ltd. at Ekyarth, Near Vandemataram Fabula, B/H, Nirma University Rd, Chharodi, Gujarat 382481, India, the provider of OnPrintShop services. OnPrintShop Customers who is buying Software & Services, "your," "you" refers to the OnPrintShop User (if registering as an individual) or the business employing the OnPrintShop User (if registering as a business) and any of its affiliates.
OnPrintShop provides a comprehensive e-commerce and print management platform enabling print businesses to manage their operations seamlessly. This includes tools to create and customize online stores, manage orders, products, inventory, payments, shipping, and customer engagement. The platform supports multi-store setups, including public, private, and reseller storefronts. Any such services offered by OnPrintShop are referred to as the “Service(s)” in these Terms of Service. Any new features or tools added to the current Services will also be subject to the Terms of Service.
You must read, agree with, and accept all of the terms and conditions contained in these Terms of Service, including OnPrintShop’s Service Level Agreement (SLA) and Data Processing Addendum (DPA) and Privacy Policy before signing up for an OnPrintShop Account or using any OnPrintShop Service.
By using OnPrintShop or any related services, you agree to comply with these terms. Be sure to check back regularly for updates or modifications.
1.1. Account Registration
You are responsible for the Account you create, any materials you upload, and the operation of your OnPrintShop store. To use OnPrintShop’s Services, you must register for an OnPrintShop account (“Account”) by providing your full legal name, business address, phone number, and a valid email address. OnPrintShop may reject or terminate your account for any reason at its sole discretion.
By using OnPrintShop Services, you confirm that your use is for business purposes.
1.2. Eligibility
You must be the older of 18 years or the legal age of majority in your jurisdiction to open an Account. If you are using the Services on behalf of a business, you confirm that you are authorized to bind the business to these Terms of Service.
1.3. Communication
Your primary email address will serve as the primary method of communication between you and OnPrintShop. You are responsible for ensuring the accuracy and functionality of this email address and must monitor it regularly. Email communications from OnPrintShop will only be authenticated if they come from the primary email address.
1.4. Account Security
You are responsible for maintaining the security of your Account and password. OnPrintShop will not be liable for any loss or damage resulting from your failure to protect your Account credentials. OnPrintShop reserves the right to request additional security measures to safeguard your Account at any time.
2.1. Store Ownership
The individual or entity that creates the OnPrintShop account will be considered the “Account Owner.” If you register the Services on behalf of a business, the business will be considered the Account Owner. Only the Account Owner is authorized to access and manage the Account.
2.2. Staff Accounts
Depending on the plan selected, the Account Owner may create staff accounts for other individuals to access and manage the Account. The Account Owner is responsible for ensuring staff members comply with these Terms of Service, and any breach by staff members will be considered the responsibility of the Account Owner.
The OnPrintShop may also grant Multi-Store License to the OPS Customers and provide them with the right to operate multiple branded storefronts under the auspices of a single legal entity, with all such storefronts being managed through a centralized order management system provided by OnPrintShop. Each storefront operating under this license shall be considered an integral part of the OPS Customers’s business operations and shall be governed by all the terms, conditions, and obligations outlined in this Agreement.
3.2. The OPS Customers is expressly prohibited from sub-leasing, sub-licensing, assigning, or in any manner transferring the rights granted under the Multi-Store License to any third party. Furthermore, the OPS Customers shall not permit any third party to operate, manage, or control any storefront that falls under the purview of this license. Any attempt to subvert or circumvent these restrictions, whether directly or indirectly, shall constitute a material breach of this Agreement and may result in immediate termination of the OPS Customer’s rights under this Agreement, along with any applicable legal remedies.
4.1. Public-Facing Storefronts: Public-facing storefronts are those that are openly accessible to the general public, allowing customers to place orders directly through the interface provided by the OPS Customers. The OPS Customers shall bear full responsibility for invoicing, payment processing, and compliance with all applicable laws and regulations concerning transactions conducted through these storefronts. The OPS Customers agrees to operate these public-facing storefronts in strict accordance with the terms and conditions of this Agreement and to ensure that all such operations are conducted in a lawful and ethical manner.
4.2. Private Storefronts: Private storefronts are those that are restricted in access, designed specifically for a select group of customers or partners. The OPS Customers must implement and maintain appropriate access controls to ensure that only authorized users can access these storefronts. The OPS Customers is solely responsible for all invoicing, payment processing, and compliance with applicable laws and regulations pertaining to these private storefronts. The OPS Customers further agrees to enforce all restrictions and limitations applicable to users of private storefronts, ensuring adherence to the terms of this Agreement.
4.3. Reseller Model: Under the Reseller Model, the OPS Customers offers white-label storefronts to authorized print resellers. The OPS Customers is authorized to publish product catalogs for use by resellers, who may market and sell the products under their own brand. All sales conducted through Reseller stores shall be registered directly to the OPS Customer's bank account. The OPS Customer shall, in turn, compensate the Reseller by paying a commission for the sales generated. Resellers are strictly prohibited from creating products, accepting direct payments from their customers, or processing orders independently. Furthermore, OPS Customers are strictly prohibited from altering the services in any manner or from creating or offering products that compete with those provided by the OnPrintShop. The OPS Customers shall assume full responsibility for ensuring that all resellers comply with these restrictions and for enforcing the terms of this Agreement as it pertains to reseller activities.
4.4. Franchise Storefronts: This model is designed for large print companies (hereinafter referred to as "OPS Customers") that operate a central manufacturing facility along with remote print shops with limited production capabilities. Franchise store owners are granted the right to download print-ready files solely for the purpose of local production within their authorized facilities. Franchisees are strictly prohibited from creating, modifying, or offering any new products outside the approved catalog provided by the OPS Customers’s central manufacturing facility. Any failure by a franchisee to comply with these terms, including unauthorized product creation or deviation from the approved processes, will constitute a breach of this Agreement by the OPS Customers. Such a breach may result in the termination of the OPS Customers’s rights and other remedies as provided under this Agreement or applicable law. The OPS Customers shall be responsible for overseeing franchise operations and ensuring that franchisees do not engage in any activities that would violate the terms of this Agreement.
The Software may be hosted on shared or dedicated servers managed by OnPrintShop, depending on the subscription model selected by the OPS Customers. The OPS Customers acknowledges that hosting is subject to the availability of resources and OnPrintShop’s hosting policies.
5.1. The OPS Customers’s usage of the Software is subject to certain limits as specified in the subscription plan. Exceeding these limits may result in additional charges or service restrictions, as determined by OnPrintShop.
5.2. OnPrintShop offers hosting services in various regions. The OPS Customers may choose a preferred hosting region, subject to availability. Dedicated server facilities in specific regions may be available at an additional cost, subject to OnPrintShop’s approval.
6.1. Service Modifications and Refusal of Service: OnPrintShop reserves the right to modify, update, or discontinue any part of the Services at any time, without prior notice or liability to you or any third party. These modifications may include, but are not limited to, changes to features, pricing, or availability of certain functionalities within the platform. We may enhance, limit, or discontinue specific services to improve security, performance, or ensure compliance with legal obligations.
6.2. Refusal of Service: OnPrintShop reserves the right to refuse any service or customization request if it violates our policies, legal regulations, or business interests. We may decline requests that we determine, in our sole discretion, to be inappropriate, infringe upon third-party rights, or compromise the integrity or operation of the platform.OnPrintShop may also provide its services to other businesses or clients without granting exclusivity By using OnPrintShop, you acknowledge that no exclusive rights or access to specific features are implied, and OnPrintShop may continue to offer services to other users, including those within the same industry.
6.3. Content Removal: OnPrintShop does not pre-screen content or materials uploaded by users but retains the right, at its sole discretion, to remove or disable access to any content that violates these Terms of Service or any applicable laws. Content subject to removal may include, but is not limited to, materials that infringe on intellectual property rights, are fraudulent, unlawful, discriminatory, or deemed harmful to others. Content may be removed without prior notice, and OnPrintShop will not be held liable for any consequences arising from the removal of content. You are solely responsible for ensuring that the content you upload complies with all applicable legal requirements and OnPrintShop policies.
6.4. Account Ownership Disputes: In the event of a dispute regarding the ownership of an OnPrintShop Account, we reserve the right to request documentation to determine the rightful owner. This documentation may include business licenses, government-issued identification, or other relevant evidence of ownership. OnPrintShop may, at its discretion, temporarily suspend or transfer control of the disputed Account until the ownership issue is resolved. Our decision on Account ownership is final, and all parties must comply with the resolution determined by OnPrintShop.
6.5. Intellectual Property and Platform Suggestions: OnPrintShop welcomes suggestions for platform improvements. However, by submitting any suggestions or ideas, you assign full ownership of those suggestions to OnPrintShop, and you acknowledge that you have no exclusivity or intellectual property rights to any specific features or modules developed as a result of those suggestions. OnPrintShop has full discretion over how to implement or reject such suggestions and may integrate them into the platform without any obligation to you.Any feedback, suggestions, or reviews you submit regarding the Services become the property of OnPrintShop. We may use this feedback without any obligation to compensate you. You are responsible for ensuring that your reviews are accurate and comply with applicable laws
6.6. Right to Terminate for Competitive Threats: OnPrintShop reserves the right to terminate your access to the Services if it is determined that any product or service you purchase or develop through the platform is positioned to compete with OnPrintShop. If we find that your activities or services create a direct competitive threat to our business, we may take immediate action, including terminating your Account and access to the Services. By using OnPrintShop’s platform, you agree to these rights, and you understand that OnPrintShop has the sole discretion to make decisions regarding service modifications, content management, intellectual property, and competitive threats.
7.1 Operation of Store and Compliance: You are fully responsible for the operation of your OnPrintShop store, including but not limited to, the sale of goods or services, customer transactions, processing refunds, handling returns, and ensuring compliance with all applicable laws and regulations. This includes, but is not limited to, data privacy laws, intellectual property laws, consumer protection laws, and other relevant business regulations. OnPrintShop is not a party to any transactions made through your store, and you bear full responsibility for the business activities conducted through the platform.
7.2. Content Compliance and Rights: You must ensure that all content, including but not limited to, photos, designs, fonts, and other materials, published through the OnPrintShop platform complies with applicable laws and does not infringe on the intellectual property rights or copyrights of any third party. You affirm that you have obtained the appropriate licenses and permissions for any content you publish and that it does not violate any third-party rights or general laws in your jurisdiction.
7.3. Avoidance of Fraud and Standard Business Practices: You agree to avoid engaging in any fraudulent activities and to follow standard trade and business practices. You are responsible for ensuring the accuracy of all representations made in your store, including product descriptions, pricing, and promotions. You must ensure that all commitments made to customers, including delivery of goods and services, are fulfilled in a timely and professional manner.
7.4. Privacy of Customer Data and Legal Compliance: You are responsible for ensuring that all customer data processed through the OnPrintShop platform is handled in compliance with applicable privacy and data protection laws, including but not limited to GDPR, CCPA, or other relevant data privacy regulations. You must ensure that any mass communications or marketing activities, such as email campaigns, comply with these laws and obtain appropriate customer consent where required.
7.5. Third-Party Integrations and Fees: OnPrintShop provides integrations with various third-party services. You are responsible for complying with the terms and conditions of these third-party services and for paying any related fees or licensing costs unless these services are explicitly provided as part of the OnPrintShop platform. OnPrintShop is not responsible for the performance or compliance of any third-party services you choose to integrate with your store.
7.6. Compliance with PCI DSS and Security Standards: While OnPrintShop ensures that its platform complies with industry-standard security frameworks, such as PCI DSS and penetration testing certifications, you are responsible for obtaining any additional third-party certifications required for your specific business, domain name, or industry. Any costs or services related to these certifications must be procured and paid for directly by you.
7.7. API Security and Maintenance: OnPrintShop provides an API interface that allows you to manage product data and order functions. It is your responsibility to maintain the security of your API credentials and ensure they are not misused or compromised. You must safeguard your API access to prevent unauthorized access or malfunctions. Any issues arising from a failure to secure your API credentials will be your sole responsibility. By using OnPrintShop’s platform, you agree to abide by these responsibilities and obligations to ensure the proper operation of your store and the protection of your customers' rights.
8.1. Fees and Payment Method
a. You are responsible for paying all applicable fees related to your subscription to OnPrintShop's Online Services (“Subscription Fees”) and any other applicable fees, including, but not limited to, fees related to the purchase or use of OnPrintShop’s products or services, such as domain names, apps, third-party services, or any customizations (“Additional Fees”). For the purposes of this agreement, the Subscription Fees and Additional Fees are collectively referred to as the "Fees..
b. You must maintain a valid payment method on file with OnPrintShop for all incurred and recurring Fees. OnPrintShop will charge applicable Fees to the payment method that you authorize (“Authorized Payment Method”) and will continue to charge the Authorized Payment Method for applicable Fees until your services are terminated and all outstanding Fees have been paid in full.
c. Unless otherwise indicated, all Fees are billed in U.S. dollars or Indian Rupee, and all payments will be made in U.S. currency or INR. Subscription Fees are paid in advance and will be billed in regular intervals (each a “Billing Date”), typically every 30 days. You will be charged on each Billing Date for any outstanding Fees that have not been previously charged. Invoices will be sent to the Primary Email Address on your account and will also appear on your OnPrintShop account's administrative console.
8.2. Failure to Process Payment
a. If OnPrintShop is unable to process payment of Fees using your Authorized Payment Method, we may attempt to process the payment again using any Authorized Payment Method you have on file. If we are unable to successfully process the payment within 28 days of the first attempt, OnPrintShop reserves the right to suspend or revoke access to your account and the services. Your account will be reactivated only upon successful payment of all outstanding Fees, plus the Fees applicable to your next billing cycle.
b. During any period of suspension, you may not be able to access your account or your storefront. If the outstanding Fees remain unpaid for 60 days following the initial suspension, OnPrintShop reserves the right to terminate your account in accordance with Section 16 (Termination).
8.3. Taxes
a. All Fees are exclusive of any applicable taxes, including, but not limited to, goods and services taxes (GST), value-added taxes (VAT), or any similar taxes or charges imposed by governmental authorities, whether now or in the future (“Taxes”).
b. You are responsible for all applicable Taxes that arise from or as a result of your subscription to, or use of, OnPrintShop’s products and services. If OnPrintShop charges these Taxes, they will be calculated based on the tax rates that apply to the billing address you provide to us. These amounts will be in addition to the Fees for products and services and will be billed to your Authorized Payment Method. If you are exempt from paying such Taxes, you must provide OnPrintShop with evidence of your tax-exempt status, including a certificate that satisfies legal requirements in your jurisdiction. Tax exemption will only apply once we receive satisfactory evidence.
8.4. Deductions and Withholdings: For the avoidance of doubt, all sums payable by you to OnPrintShop under these Terms of Service must be paid in full, free from any deductions or withholdings of any kind. Any deductions or withholdings that are required by law will be borne by you and must be paid separately to the relevant tax authority. OnPrintShop will be entitled to charge the full amount of Fees to your Authorized Payment Method without regard to any such deductions or withholdings.
8.5. Responsibility for Sales Taxes and Compliance: You are solely responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges, and additional charges that arise from any sales made on your OnPrintShop Store or as a result of your use of the Services. OnPrintShop is not a marketplace, and any contract of sale made through the Services is directly between you and your customers. You must maintain an accurate location in the administrative console of your OnPrintShop Store. If you change jurisdictions, you must promptly update your location in the system to ensure tax and regulatory compliance.
8.6. Refund Policy
a. OnPrintShop does not provide refunds for any Fees paid. All payments are final, and any disputes regarding billing must be raised within two weeks of the Billing Date to be considered.
b. By using OnPrintShop’s services, you acknowledge and agree to these payment terms and understand your responsibility for ensuring all Fees and Taxes are paid in a timely and compliant manner.
9.1. Both you and OnPrintShop agree to use the other party’s Confidential Information solely for the purpose of performing obligations under these Terms of Service. Confidential Information must be handled with care, and all necessary measures must be taken to ensure its protection.
9.2. "Confidential Information" refers to any and all non-public information related to a party’s business, including but not limited to business strategies, technical processes, software, customer lists, prospective customer information, names, addresses, contact information, product designs, sales data, pricing, cost information, financial statements, marketing plans, and any other confidential and proprietary information, regardless of whether such information is marked as confidential. OnPrintShop’s Confidential Information also includes any information you receive related to our Services, security practices, or internal processes that are not publicly available.
9.3. Notwithstanding the foregoing, any customizations or modifications developed specifically for customers shall remain the intellectual property of OnPrintShop, and the disclosure of such customizations does not grant the customer any ownership rights to the intellectual property unless otherwise expressly agreed in writing.
9.4. Each party agrees to use the other party's Confidential Information only as necessary to fulfill its obligations under these Terms of Service. Both parties agree to take reasonable steps, at least as stringent as the steps taken to protect their own confidential information, to prevent the unauthorized duplication, disclosure, or use of such Confidential Information, except:
a. To employees, agents, or subcontractors who need access to such information in order to perform their obligations under these Terms of Service, provided that they are bound by confidentiality obligations equivalent to those outlined herein;
b. As required by law, regulation, or court order, provided that the receiving party, where legally permissible, promptly notifies the disclosing party and uses commercially reasonable efforts to ensure that such disclosure is treated confidentially.
9.5 Confidential Information does not include any information that the receiving party can demonstrated:
a. Was already publicly available at the time of disclosure, or became publicly available through no fault of the receiving party;
b. Was already known by or in the possession of the receiving party before the information was disclosed, without any breach of these Terms of Service;
c. Was independently developed by the receiving party without reference to or use of the disclosing party’s Confidential Information; or
d. Was lawfully obtained from a third party who had the right to disclose it without breaching any confidentiality obligations.
By using OnPrintShop’s Services, both parties agree to adhere to these confidentiality terms, ensuring that sensitive business information is properly safeguarded and respected.
10.1. Limitation of Liability
a. You acknowledge and agree that OnPrintShop is not responsible for any damages or legal actions that arise from your violation of the law, breach of these Terms of Service, or infringement of the rights of any third party. The Services are provided on an "as is" and "as available" basis. OnPrintShop makes no warranties and limits its liability in the event of any errors, interruptions, or issues related to the Services.
b. To the maximum extent permitted by applicable law, OnPrintShop and its suppliers will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for lost profits, lost goodwill, lost data, or other intangible losses arising out of or related to your use of or inability to use the Services, regardless of the cause of action, including negligence.
c. In no event will OnPrintShop’s total liability for all claims arising from or related to the software, services, access, and/or this agreement, regardless of the form of action (whether in contract, tort, under statute, or otherwise), exceed the total amount of fees paid for the subscription (excluding professional services) by the Customer in the 12 months preceding the claim. You agree that this amount is sufficient to satisfy the essential purpose of this agreement and that the price of the software, professional services, or access reflects this allocation of risk.
10.2. Indemnification
a. Indemnification by the OPS Customer: You (the “OPS Customer”) agree to indemnify, defend, and hold harmless OnPrintShop, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, representatives, licensors, successors, and assigns (collectively, the "OnPrintShop Indemnified Parties") from and against any and all claims, demands, actions, suits, damages, liabilities, judgments, losses, costs, and expenses, including, without limitation, reasonable attorneys' fees and costs (collectively, "Claims"), arising out of or related to:
i. Any breach by you of these Terms of Service or any other agreements, policies, or documents referenced herein, including, without limitation, any violation of the Service level agreement or other terms governing the use of OnPrintShop’s Services;
ii. Any violation by you of any applicable laws, rules, regulations, or third-party rights, including intellectual property, privacy, or data protection rights;
iii. Any dispute, claim, or action brought by a third party, including your customers or end-users, related to transactions, disputes, or activities occurring through your use of the platform, including, but not limited to, claims related to refunds, fraudulent transactions, product defects, consumer protection violations, or breach of contract;
iv. Any claim that your content, data, or business operations infringe upon the intellectual property or proprietary rights of any third party;
v. Any business activities, representations, or services conducted by you through the platform, including but not limited to warranties, marketing practices, or compliance with regulations governing your business operations.
b. Indemnification by OnPrintShop: OnPrintShop agrees to indemnify, defend, and hold you, your officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Customer Indemnified Parties") harmless from and against any and all Claims arising out of or related to:
i. Any claim that the OnPrintShop Services, including its platform, software, tools, or technology, infringe upon or misappropriate any intellectual property rights, proprietary rights, trade secrets, or other rights of any third party;
ii. Any breach by OnPrintShop of its representations, warranties, covenants, or obligations under these Terms of Service or any other applicable agreements;
iii. Any failure by OnPrintShop to comply with applicable laws, rules, or regulations in the provision of its Services;
iv. Any claim related to security breaches, data protection failures, or unauthorized access to your data resulting from OnPrintShop’s actions or omissions.
c. Mutual Responsibilities: Each party acknowledges and agrees that the indemnifying party’s obligations under this section extend to any actions or omissions by its employees, agents, contractors, affiliates, or other representatives. Any breaches or violations by such persons or entities will be treated as if the indemnifying party itself had committed such breaches or violations.
10.3. Disclaimer of Warranties
Your use of the Services is at your sole risk. OnPrintShop provides the Services on an "as is" and "as available" basis, without any warranties or conditions, either express, implied, or statutory. OnPrintShop does not warrant that the Services will be uninterrupted, timely, secure, or error-free.
OnPrintShop makes no representations regarding the accuracy or reliability of any results obtained from using the Services, nor does it warrant that the quality of any products, services, or information purchased or obtained through the Services will meet your expectations or that any errors will be corrected.
10.4. Exclusion of Liability for Taxes
OnPrintShop is not responsible for your tax obligations or liabilities arising from your use of the Services. You are solely responsible for determining, collecting, reporting, and remitting any applicable taxes related to transactions conducted through your store.
By using OnPrintShop's Services, you acknowledge that these limitations of liability and indemnification provisions are a fair allocation of risk and are essential to the operation of the platform.
11.1. OPS Customer Content
a. License. OnPrintShop does not claim ownership over the content you provide while using the Services. All content you submit remains your property. However, by providing content (directly or indirectly) through our Services, you grant OnPrintShop a non-exclusive, worldwide, royalty-free, sublicensable (through multiple tiers) license to use, distribute, reproduce, modify, create derivative works of, publicly display, and perform your content, as well as to exercise any copyright, trademark, patent, publicity, moral (where permitted), database, and/or other intellectual property rights ("IP Rights") you hold in the content or associated with your store. This license applies in any media now known or developed in the future and is essential for OnPrintShop to provide its Services.
b. Representations and Warranties. You represent and warrant that you own or have the necessary rights to submit all content you provide through the Services and that such content is accurate. You further represent that the use of your content by OnPrintShop and its users, in compliance with these Terms, will not infringe upon any third-party IP rights. OnPrintShop assumes no responsibility for content provided by you or any third party, to the extent permitted by applicable law.
11.2. OnPrintShop Content
a. Restrictions. All rights not expressly granted to you by OnPrintShop under these Terms are reserved by OnPrintShop. You are not granted any implied rights except to the extent that such rights cannot be excluded by applicable law. You may not use, imitate, or copy any OnPrintShop trademarks, service marks, trade dress, logos, or other branding (collectively, "Marks") without OnPrintShop’s prior written consent, which may be granted at OnPrintShop’s discretion. Any permitted use of OnPrintShop’s Marks will inure to the benefit of OnPrintShop.
b. Ownership. As between the parties, OnPrintShop owns all rights, title, and interest in and to the Services, including any APIs, software, documentation, images, video, content, logos, page headers, custom graphics, design elements, user interface components, scripts, and any other materials provided by OnPrintShop in connection with the Services, as well as all modifications, enhancements, and updates (collectively, "OnPrintShop IP"). You are granted no rights or licenses in or to the OnPrintShop IP except for the right to use the Services in accordance with these Terms during your applicable subscription period.
OnPrintShop may offer additional services, such as SMS notifications, API integrations, or third-party applications. By using these services, you agree to comply with all applicable terms and conditions provided by OnPrintShop and third-party providers.
OnPrintShop’s collection and use of personal data are governed by our Privacy Policy. If OnPrintShop processes customer data on your behalf, this is further regulated by our Data Processing Addendum.
Your contracting party is Radix Software Service Private Limited, located in Ekyarth, Near Vandemataram Fabula, B/H, Nirma University Rd, Chharodi, Gujarat 382481, India,. Any disputes arising from these Terms of Service are subject to the laws and courts of India.
15.1. Term: The Services will be provided to you for the duration of your Services subscription as outlined in your Order Form, unless earlier terminated by either you or OnPrintShop. You may cancel your Services subscription at any time. These Terms will automatically terminate upon the cancellation of all your Services subscriptions. OnPrintShop reserves the right to terminate these Terms or your Services subscription(s) at any time, with or without cause, by providing written notice. OnPrintShop shall not be liable to you or any third party for any termination. Upon termination of these Terms, all your Services subscriptions will be terminated.
15.2. Effect of Termination: Upon termination of these Terms by either party, or upon cancellation or expiration of your Services subscriptions:
a. OnPrintShop will immediately cease providing the Services;
b. You will not be entitled to any refunds for any subscription or usage fees, or any other fees, whether pro rata or otherwise;
c. Any fees you owe to OnPrintShop will become immediately due and payable in full; and
d. OnPrintShop may delete your archived data within 30 days from the date of termination or cancellation.
All provisions of these Terms that by their nature should survive termination will continue to remain in effect, including but not limited to confidentiality obligations, indemnification, warranty disclaimers, and limitations of liability.
16.1. OnPrintShop reserves the right to modify, update, or change any portion of these Terms of Service at any time, at its sole and absolute discretion. If a material change is made that significantly affects your rights or your use of the Services, OnPrintShop will provide reasonable advance notice by sending an email to your primary email address on file or through other means such as a notice within the OnPrintShop administrative console. However, in cases where changes are required for legal, regulatory, fraud prevention, security purposes, or to address prohibited activities, OnPrintShop may implement such changes immediately without prior notice.
16.2. Unless specified otherwise, any changes to the Terms of Service will take effect immediately upon posting of the updated terms. Your continued access to or use of the Services following notice or the posting of the updated terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services.
16.3. OnPrintShop also reserves the right to adjust Fees for the Services from time to time. If there is a change to the Fees, OnPrintShop will provide at least 30 days' notice in advance, either through email or by notice in the OnPrintShop administrative console. OnPrintShop will not be liable to you or any third party for any modifications, price changes, suspension, or discontinuation of the Services or any part thereof.
17.1. Entire Agreement: These Terms of Service, along with any documents incorporated by reference, constitute the entire agreement between you and OnPrintShop regarding your use of the Services and your Account, superseding any prior agreements (including any previous versions of the Terms of Service).
17.2. Waiver: The failure of OnPrintShop to enforce or exercise any right or provision of these Terms will not constitute a waiver of such right or provision.
17.3. Severability: If any provision of these Terms, or any related document, is found by a court of competent jurisdiction to be unlawful or unenforceable, that provision will be modified to best reflect the original intent and will remain enforceable to the fullest extent permitted by law. The remaining provisions of these Terms will continue in full force and effect.
17.4. Third Party Rights: Except for OnPrintShop and its affiliates, or as otherwise provided in these Terms, no third party will have any right to enforce any provision of these Terms, regardless of whether such person or entity has been identified by name, as a member of a class, or as having a specific role or description. This will not affect the rights of any permitted assignee or transferee of these Terms.
17.5. Governing Law: These Terms of Service will be governed by and interpreted in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.
17.6. Language and Interpretation: If these Terms are available in any language other than English, and there are inconsistencies or conflicts between the different versions, the English version will prevail. Disputes arising under these Terms will be resolved in English unless otherwise required by law or at the discretion of OnPrintShop.
17.7. Assignment: These Terms are binding upon and inure to the benefit of the parties, their heirs, successors, permitted assigns, and legal representatives. OnPrintShop may assign or transfer these Terms without prior notice or your consent. You may not assign or transfer these Terms or any of your rights or obligations under them without OnPrintShop’s prior written consent.
17.8. Severability of Invalid Provisions: If any provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms will remain valid and enforceable. The invalid provision will be interpreted in a way that best reflects the original intent and is enforceable under applicable law.
17.9. Survival of Provisions: Upon termination of these Terms, all rights and obligations will terminate except for those provisions which, by their nature, should survive, including but not limited to Sections on Account Terms, Payment of Fees, Confidentiality, Limitation of Liability and Indemnification, Intellectual Property, Third Party Services, Feedback, Privacy and Data Protection, Cancellation and Termination, Modifications, and General Conditions. These provisions will continue to apply following the termination or expiration of the Terms.
